Overview
The NFFC Primetime will consist of multiple leagues each comprised of 12 teams.

There will be 3 weeks of "All Play" this season in Weeks 1, 2, and 3, where the top 6 scoring teams in each of those weeks get a Win and the bottom 6 scoring teams get a Loss. Then teams will play every other team in their league once in head-to-head competition from Weeks 4 through 14.

The Top 3 teams from each league automatically advance to the Championship Round in Weeks 15-17 and carry their weekly scoring average (140.15 points, for example) into the Championship Round. Teams then add their scores in Weeks 15, 16 and 17 to their weekly scoring average and the team with the most Points after Week 17 is the NFFC Primetime champion and wins overall championship and grand prize.

Prizes
Cash prizes are awarded in U.S. dollars and are awarded to the principal owner of the team. Teams can split prizes among multiple owners by filling out the proper paperwork with SportsHub Games Network, Inc.'s accounting department before season's end. In the event of a tie, cash prizes are divided evenly among those who have tied.
Overall Prize Details
The 3 league prize winners automatically qualify for the overall championship round. Teams will carry their weekly scoring average from the first 14 weeks of competition (i.e. 130.15 points) into the playoffs and then add their point totals from Weeks 15, 16 and 17 to that initial total to determine the overall champion.

Wild Card Teams:
Any team that finishes in the top 15 percent of the total number of teams that didn’t automatically make the Championship Round will also advance to the playoffs as a wild card team. So if the NFFC Primetime finishes with 266 teams in 2024, the top 40 teams in total points will be guaranteed a playoff spot in the Championship Round even if they finished fourth or lower in their league.

Overall Bonus Prize:
Regular Season (Week 1 - 14) Total Points Leader wins $1,750.

Consolation Round:
Those teams which did not advance to the playoffs will carry their weekly scoring average from Weeks 1-14 into a consolation round playoff and add their weekly totals during Weeks 15-17 to determine the consolation round champion.
League Prize Details
League prizes are awarded to the top 3 teams in the following format:

1st Place: Best H2H record and most total points.
2nd Place: Next highest total points team.
3rd Place: Next highest total points team.

If two teams split the h2h title and the total points title after Week 14, then those 2 teams will play a league playoff from weeks 15 - 17 total points to determine 1st and 2nd place. H2H tie-breaker after Week 14 is Total Points.
Random League/Draft Spot Selections
The NFFC will randomly select the leagues and the draft orders of each league once all entries have been submitted by city. For instance, if the NFFC receives 24 entries for a given league, we will put all 24 names into a computer program and select in order: League 1, pick 1 is John Smith; League 1, pick 2 is John Doe, League 1, pick 3 is Jane Andrews, etc. until all 24 names have been selected. NFFC officials will look at every owner's Draft Preferences after the leagues and orders are randomly selected and then announce the draft orders for each league.

If an NFFC league in one of the cities does not fill exactly with 12 teams, the NFFC reserves the right to fill that league with owners from one or more other host cities or owners on a teleconference to make it full. In that scenario, the NFFC reserves the right to place some of the final signups in any of the cities in that teleconference league. Early-bird signups will not be placed in a teleconference draft league if it's full in that city.
Setting Kentucky Derby Style (KDS) Preferences

The NFFC will use Kentucky Derby Style (KDS) preferences for draft preferences in all NFFC Primetime leagues. The Draft Preferences are listed as soon as you click on your team link. There you will see a list of 1 through 12 in order and an "Edit Preferences" link. Edit your list as often as you'd like and just save your preferences each time before the required deadline for this league.

Here's what KDS does: The KDS process allows owners to rank their order of preference for Draft Day, ranking their preferences 1 through 12 BEFORE the leagues are randomly selected. Some owners would rather draft in the middle, if they are selected early in their league; others like to stay near the top and others like to move down to the lower end. KDS allows that if you are fortunate enough. A sample KDS from an owner could look like this:

If an owner wants the third pick and he is selected No. 1 overall in his league, he would choose 3 as his top option and he would then be moved to third in that league on Draft Day. NFFC officials will look at every owner's Draft Preferences after the leagues and orders are randomly selected, pick the highest available preference for each owner and then announce the draft orders for each league.

Third Round Reversal

The NFFC Primetime will use Third Round Reversal for all drafts. This means in round one the draft order will go team 1 through team 12 and in round 2 the draft order will be team 12 through team 1. Then in round 3 the order will be team 12 through team 1 and then continue in serpentine fashion after that.

Online Drafts
All Online Leagues will hold their drafts at https://nfc.shgn.com. Once you have signed up, you'll find your team link for this league under MY TEAMS section. There you'll find a PRE-DRAFT RANK LIST link where you can rank the player default list for all online drafts and all of the players will show up in the draft room exactly as you have ranked them. If you do not setup a pre draft ranking, the player default list will appear as SportsHub Games Network, Inc. has it. Once the league has filled, the DRAFT ROOM link will appear and you'll be able to enter the draft room. There is a DRAFT BOARD link within the draft room that allows you to see colored stickers of every player being selected and to easily see the draft results.

All lineups must be legal before the season starts and the NFFC will correct all roster errors that may have been missed at the draft. All decisions by the NFFC commissioner involving final rosters are official.

Time Limit for Draft: If a participant does not make a selection in the allotted time, the computer will select the top player from that owner's Player Queue and if no player is in the queue then the top available player from the player's default list will be selected. If there is a computer failure, an error made with a selection by an owner or any other type of technical malfunction, the draft moderator can stop the draft at any time and correct the error and then resume the draft. The NFFC reserves the right to allow the draft moderator to roll-back the draft if a technical error occurred, but if the desired player had already been selected before the draft was stopped, that player is no longer available to be drafted.

Commissioner Decisions: All decisions made by the NFFC commissioner are final. Tough decisions sometimes must be made about eligibility rules, lineups, etc., and NFFC participants must accept the unbiased ruling of the NFFC commissioner.

If there is a computer failure, an error made with a selection by an owner or any other type of technical malfunction, the draft moderator can stop the draft at any time and correct the error and then resume the draft. The NFFC reserves the right to allow the draft moderator to roll-back the draft if a technical error occurred, but if the desired player had already been selected before the draft was stopped, that player is no longer available to be drafted.
Live Drafts
Each league will be comprised of 12 teams, and each draft will consist of 20 rounds, with each team selecting players in each round using 3RR (3rd Round Reversal).

If an NFFC participant inadvertently leaves the draft with an illegal lineup (for instance, was without a QB), then the NFFC will drop the last pick made by that team (or more picks if needed) and add the last player at that position on the NFFC's final Cheat Sheet on Draft Day to make that lineup legal. The NFFC participant could replace the player who was assigned after the error was discovered during the first FAAB period. All lineups must be legal before the season starts and the NFFC will correct all roster errors that may have been missed at the draft. All decisions by the NFFC commissioner involving final rosters are official.

Time Limit for Draft:
There will be a 1 minute time limit for each owner to make his/her pick during each round of the draft. If a participant does not make a selection in the allotted time, they are passed over until the next participant makes a player selection. The passed-over participant follows after the next person's pick and again has one minute to make his/her pick. Picks are official once the league facilitator announces the selection and all decisions by the league facilitator are final. In the event that a participant selects a player who no longer is available, the participant will get an additional 15 seconds by the draft facilitator to select a new player. If the participant then again selects someone who is off the board, his/her turn will be skipped and the participant will be allotted a full minute to make another selection after the next team's selection has been made.

If an NFFC participant does not show up at the draft in time, a surrogate owner will be installed and that owner will use the latest Cheat Sheets from our online rankings to draft players, going in order of the Top 300 regardless of position. Should that owner not show up at all, the surrogate owner would be able to pick players at required positions when those needs are obvious.

Seating: Every team will have two draft spots available at the table and each team will be seated in their draft order. If you do not have a co-manager, we will remove the second chair and you will have more room to spread out.

Electronic Equipment:
Participants can use electronic equipment during the draft as long as it fits in the allotted draft spot at the table. There will be NO Internet connections or electrical outlets, so participants bringing laptops will have to supply their own power. Cell phones are allowed at the draft table, but we encourage participants to use them sparingly and not in a way that interrupts the draft process. We request that participants limit their usage to outgoing calls during the draft, not incoming calls, and anyone planning to remain on the phone for the entire draft needs to inform the NFFC about that ahead of time.

Smoking/Drinking:
Smoking will not be allowed in the Draft Room. There will be a cash bar available in the Draft Room, but we ask that each participant drink responsibly.

Breaks:
There will be a 15-minute break after Round 10 and we will finish the draft after the final break.

To minimize the possibility of collusion, there will be no trading allowed.
Position Eligibility
Players will be eligible at one position during the season and designated for that position before the season by SportsHub Games Network, Inc.. Should a player move to another primary position before the start of the season, SportsHub Games Network, Inc. reserves the right to give that player a second eligible position. No player will ever lose the eligibility originally designated by SportsHub Games Network, Inc., but a second position could be added if deemed necessary by SportsHub Games Network, Inc.. All decisions made by the SportsHub Games Network, Inc. commissioner regarding eligibility are final.
Lineup Submission
All lineups may be submitted on the league web site and must be entered no later than the scheduled kickoff time for the game affected.

All NFFC contests will allow participants to know the results of the, Friday, Sept. 6th games before locking their Week 1 lineups. Lineups for Week 1 lock at players scheduled start times and all of the Friday Sept. 6th players will lock at 1 pm ET on Sunday, September 9th. Every owner in every NFFC league this year gets a free look at the Thursday Night Game and Friday night game in Brazil.
FAAB RUNS FOR 2024 - WED & SAT NIGHTS

Free Agents
Free Agent Bidding Process:
Any player who is not on a team roster within your league is considered a free agent for that league. The free agent system will be a blind bidding process for each individual league. Each team will start with 1,000 free agent dollars for the season, and will be permitted to bid for free agents on a weekly basis with a minimum bid of $1 per player. Teams will not be able to see other team's free agent bids. The team with the highest bid on any given player will be awarded that player. The amount of the winning bid will be deducted from the winning team's free agent dollars. For each winning bid, the winning team must drop a player to make roster room for the free agent acquisition. If a team's free agent dollars go to zero, that team will no longer be allowed to bid for the rest of the season. No bid will be accepted that is larger than a team's available free agent dollars. All bids must be in increments of dollars (no cents). Only winning bids and the runner-up bids on each player will be shown after the FAAB bidding period for each NFFC league.

Bidding Time Frame:
The NFFC bidding process will start the week before the NFL Season Openers and run for the first time on Wednesday, September 4th and again on Saturday, September 8th for all leagues that drafted before those dates. FAAB will run every week from Week 1 through Week 14. Bids will be accepted on the league website from Sunday morning through the FAAB deadlines on Wednesday and Saturday. Rosters will be updated shortly after the 10 pm ET deadlines with the results of all successful bids.

Cutting Players:

Owners can cut any NFL player on Saturday during FAAB who wasn't locked in their starting lineup on Thursday. That means players whose teams played on Thursday but were on a reserve roster can be cut on Saturday during FAAB. This will give owners a little more roster flexibility in 2024.

Week 1:
-- Owners can drop ANY player from their team regardless of position (starter, bench).

Week 2 through 14:
-- Owners can drop ANY player who played on Thursday from their team ONLY if the player is on the bench.
-- Owners can pick up a Free Agent in Wednesday's FAAB and if they don't play him on Thursday they can still cut him on Saturday, even if his team did play on Thursday.

Conditional Bids:
Conditional bids can also be offered. In the event you may lose out on a player, you can place conditional bid(s) for other players during the bidding time frame. The first conditional bid will become relevant only if you lose out on the first bid. Subsequent conditional bids will become relevant only if the previous conditional bid fails. Bids do not require conditional bids. Bids may have several sequential conditional bids, but the system always processes them from highest dollar value to lowest dollar value.

Number of Bids Limit:
There is no limit to the number of bids that may be submitted each bidding time frame in which bids are permitted.

Tied Bids:
If there is a tie bid during the season, the team that receives the player will be determined in order by

  • Worst league record

  • Lowest total points

  • Highest points against

  • Lowest draft spot


Any tied bids during the first FAAB period will be given to the team with the lowest draft order from Draft Day.

Commissioner Review of Player Drops:
All player drops for free agents are subject to review by the NFFC commissioner and can be revoked if the dropped player is deemed too valuable to be offered to that league's free agent pool, thus damaging the credibility of the overall contest. In the case of a star player being dropped in a league for a valid reason, the NFFC commissioner reserves the right to allow the cut but keep the player out of that league's free agent pool for any length of time, possibly the entire season. All decisions by the NFFC commissioner will be final.

NFFC MAXIMUM LIABILITY TO ANY PARTICIPANT IN THE CONTEST FOR ANY CLAIM (INCLUSIVE OF ATTORNEYS' FEES) ARISING OUT OF OR IN CONNECTION WITH PARTICIPATION IN THE CONTEST, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE FOR LOSSES OR DAMAGES SUSTAINED BY THE PARTICIPANT IS LIMITED TO THE AGGREGATE AMOUNT OF ALL FEES PAID BY THE PARTICIPANT TO PARTICIPATE IN THE CONTEST. Internet/Technology Problems; Tampering
If, as a result of viruses, bugs, tampering, unauthorized intervention, fraud, technical failures or other causes beyond the control of NFFC, the administration, security, fairness, integrity or proper conduct of the Contest is corrupted or compromised, NFFC reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest. NFFC is not responsible for any problem or technical malfunction of any telephone network or lines, computer online systems, servers, equipment or software, failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet or at any website, phone lines, or any combination thereof, including any injury or damage to a participant's computer related to or resulting from participation in this Contest. CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF LAW. NFFC reserves the right to disqualify any individual who tampers with the entry process or Contest operation, provides false entry information, or disseminates false or misleading information about the Contest. NFFC reserves the right to seek recovery of damages from such individual to the fullest extent permitted by law.
Game of Skill
The Contest is a game of skill. From all entries received, winners are those individuals who use their skill and knowledge of relevant professional football information and fantasy football rules to accumulate the highest point totals during the Contest according to the official Contest rules.
Prizes
Winners are determined and prizes are awarded as provided in the official rules of the Contest. Prize winners will be required to complete an affidavit of eligibility and liability/publicity release and may be required to provide a certification for tax withholding (including, without limitation, a W-9). Prize winners may also be required to provide evidence that the information in the entry for the Contest is accurate. The prize will only be paid to the person who is identified by NFFC as having submitted the entry for the Contest. Failure to submit accurate and complete information at any time may result in forfeiture of prizes. All taxes associated with the receipt or use of any prize are the sole responsibility of the winner. You are advised to consult your tax advisor for tax advice concerning your prize winnings. In the event that the awarding of any prizes to winners of the Contest is challenged by any legal authority, NFFC reserves the right, in its sole discretion to determine whether or not to award such prizes. If NFFC determines that a team is owned indirectly by a customer in order to circumvent the Eligibility Requirements, NFFC reserves the right, in its sole discretion to determine whether or not to award prizes or disqualify the team.

Cash prizes are awarded in U.S. dollars. In the event of a tie, cash prizes are divided evenly among those who have tied. In the event that a league does not contain 12 teams, NFFC reserves the right to cancel the league and entry fees from that league will be refunded.

Please allow 2-3 weeks, from the time your signed affidavit and release (and certification for tax withholding, if applicable) is returned to NFFC, to receive your prize. All prizes are awarded regardless of the number of entrants or amount of entry fees received. No substitution or transfer of prize is permitted.
Prize Notification
Winners are notified by email or regular mail within ten (10) days after the official final results (and associated winners) are posted at the conclusion of the Contest. Winners are also posted on the Contest website. Winners are required to complete an affidavit and release and certification for tax withholding, if applicable. There forms must be completed and returned via the website, email or regular mail, within 15 days following attempted notification. Failure to comply with this requirement can result in disqualification and forfeiture of prizes. Any prize notification returned as undeliverable may result in disqualification and selection of an alternate winner. After six (6) months, any unclaimed prize will be forfeited.
Complaints And Requests To Be Removed From Mailing Lists
The Contest operator is SportsHub Games Network, Inc./NFFC with its principal office located at 333 Washington Ave N Suite 104 Minneapolis, MN 55401. Please contact NFFC at its principal office if at any time you wish to be removed from any mailing list (including any email list) or have any complaint regarding products or services provided by NFFC.
Taxes
If the principal team owner's prize winnings are $600.00 or greater (or any other threshold subsequently established by the IRS), the NFFC must file a Form 1099 with the IRS at the end of this calendar year. We will request your social security number and signature on this form. The form contains the amount paid to you and you will receive a copy of the form for tax purposes. SportsHub Games Network, Inc. pays the principal team owner of each NFFC team that was submitted on the entry form and you are responsible for paying any taxes that result from your cash prize; please consult your income tax advisor for filing advice. In the event that the awarding of any prizes to winners of the Contest is challenged by any legal authority, SportsHub Games Network, Inc. reserves the right in its sole discretion to determine whether or not to award such prizes.
Eligibility & Registration
The NFFC is open to individuals who are at least 18 years of age or older (19 years in Alabama and Nebraska, and 21 years in Massachusetts). By entering an NFC contest, you are further representing and warranting that:

-- you are a citizen or resident of the United States of America or Canada and that you have an address in the United States of America or Canada;

-- at the time of contest entry, you are physically located in the United States of America or Canada in a jurisdiction in which participation in the NFC is not prohibited by applicable law;

-- at the time of contest entry, you are not physically located in of any of the following U.S. states or Canadian Provinces: Arizona, Connecticut, Delaware, Iowa, Louisiana, Maine, Michigan, Montana, Vermont, Washington, Ontario;

-- when entering an NFC contest, you are not an employee or operator of another fantasy sports website that charges entrance fees or offers cash prizes;

-- you are not listed on any U.S. or Canadian Government list of prohibited or restricted parties;

-- you are not subject to backup withholding tax because: (a) you are exempt from backup withholding, or (b) you have not been notified by the Internal Revenue Service (IRS) that you are subject to backup withholding as a result of a failure to report all interest or dividends, or (c) the IRS has notified you that you are no longer subject to backup withholding;
Official Rules
Registration for, and continued participation in, the NFFC constitutes your full and unconditional agreement to these official rules ("Official Rules") and to SportsHub Games Network, Inc. decisions relating thereto. SportsHub Games Network, Inc.' decisions in regards to these Official Rules and all matters pertaining to the NFFC are final and binding.
Refunds

Once a participant submits valid payment, no money will be refunded unless the NFFC event for which such participant has registered has been canceled. A team spot is considered filled when the entire entry fee is paid. SportsHub Games Network, Inc. reserves the right to cancel any entries which are not part of a full league. In addition, SportsHub Games Network, Inc. retains the right to deny, at its sole discretion, eligibility of any individual to register for any NFFC game or event and/or participate in any NFFC game or event, even after the registration fee has been paid, but in such case, the entry fee will be refunded. Under no condition shall SportsHub Games Network, Inc. be held responsible for any loss or liability related to any expenses incurred by a denied entrant or any person affiliated with that denied entrant. Notwithstanding anything herein to the contrary, in the event that any participant or co-manager is banned from the NFFC as the result of any violation of the Official Rules, then no refund will be given.

Cancellation

At its sole discretion, SportsHub Games Network, Inc. reserves the right to terminate any NFFC game, event or league at any time prior to the completion of the season due to any acts of God, natural disasters, terrorism, change in applicable law, interruption of the season (including strikes, lockouts and/or use of replacement players), or any other situation beyond the control of SportsHub Games Network, Inc.. In the event of any such termination by SportsHub Games Network, Inc., all entry fees will be refunded, with the exception of any live event fees (if such live event has already occurred).

At its sole discretion, SportsHub Games Network, Inc. reserves the right to terminate any NFFC game, event or league (including the NFFC Main Event) if there are an insufficient number of teams prior to the scheduled start of the league. In this unlikely event, SportsHub Games Network, Inc. will refund all entry fees within 48 hours of cancellation notice and/or provide a new application form with the newly stated prize figures. In this situation, all pre-registered applicants have the right to a full refund or to agree to play for the newly announced prize structure. SportsHub Games Network, Inc. is not responsible for any loss or liability incurred by any participant or co-managers due to cancellation of any NFFC game, event or league, including but not limited to travel or hotel expenses, time taken off from employment, etc.

Code of Conduct

All participants and co-managers are expected to behave in lawful, respectful and sportsman-like fashion at all live draft events, throughout the NFFC season, and during use of any NFFC website, including, but not limited to comments posted on any NFFC message board. Additionally the NFFC events, games and/or leagues may not be used for any form of gambling. Any conduct or message board post by a participant, co-manager or other person which is deemed by SportsHub Games Network, Inc., in its sole discretion, to be unlawful, or to have the effect of intimidating, harassing, offending or otherwise harming any other participant, co-manager, guest, or NFFC/SportsHub Games Network, Inc. representative, is strictly prohibited. SportsHub Games Network, Inc. reserves the right, in its sole discretion to ban any person from current and/or future participation in the NFFC and/or from use of the message boards if such person engages in any such prohibited conduct or is otherwise in violation of any of these Rules. In addition, any person engaging in such conduct forfeits any rights to a refund, as well as any potential rights to a prize award. SportsHub Games Network, Inc. shall not be responsible or held liable to any person for damage to property or personal injury or death arising from the acts or omissions of any third parties. Any participants or co-managers who collude, or attempt to collude, or who attempts to blackmail, bribe or otherwise influence any representative of SportsHub Games Network, Inc./NFFC, or who otherwise attempts to sabotage the league, in an effort to alter the results or outcome of any NFFC game will be disqualified and will be prohibited from winning any prize award. If a participant is banned from participation in a current NFFC game, then SportsHub Games Network, Inc. reserves the right, to take those actions which it sees fit, in its sole discretion with respect to such banned participant's team. Any criminal behavior may be referred to the appropriate authorities.

Errors

The deadline for submitting any dispute or claim regarding the operation of any league draft is one hour after the conclusion of the draft itself; further, leaving any live draft event without submitting any dispute or claim regarding the draft constitutes your waiver of any right to challenge any aspect of the draft. You are strongly urged to double-check your lineups, trades, and free agent moves throughout the season, as SportsHub Games Network, Inc./NFFC will not be held liable for any errors in entering lineups, trades or free agent moves, and SportsHub Games Network, Inc./NFFC will not intervene or alter a transaction after lineups, trades or free agent moves are due.

Prize Splitting

Prize splitting amongst the principal registrant and co-managers is available, provided that the principal registrant has authorized payment to his co-managers in writing and in advance of the completion of the season. In order to authorize prize-splitting, the principal registrant must completely fill out and sign the authorization form designated by SportsHub Games Network, Inc. (including the name and address of the co-manager(s) and the applicable prize percentage to be paid to each co-manager(s)). Both the principal registrant and each co-manager designated on a prize-splitting form will be required to fill out a W-9. No prize money will be distributed until all necessary forms have been received by SportsHub Games Network, Inc.. Both the principal registrant and the co-manager(s) will receive IRS Form 1099 reflecting the prize money paid to each. If SportsHub Games Network, Inc. deems, in its sole discretion, that the appropriate documentation and/or authorization has not been received, or has not been received in a timely fashion, then SportsHub Games Network, Inc. will pay prize payments only to the principal registrant.

Communication Access

All NFFC team owners must have internet access and a valid e-mail address for communication. SportsHub Games Network, Inc. is not responsible for any issues which impede or interfere with the transmission or receipt of any transaction, including but not limited to, draft selections, trades, free agent moves and lineups. SportsHub Games Network, Inc. is also not responsible for the failure of any telephone networks/lines, internet connections, software/hardware, or internet congestion/transmission rates.

Hold Harmless

Each participant and co-owner hereby releases and holds harmless SportsHub Games Network, Inc. and its parents, affiliates, and subsidiaries, and their respective directors, officers, employees, agents and representatives from and against any and all liability for any injuries, losses or damages of any kind to person (including death) and property, arising in whole or in part, directly or indirectly from participation in any NFFC event, game or league, as well as acceptance or use of any prize award.

Disputes; Limitation of Liability; Disclaimer

Each participant and co-owner agrees that (i) all issues and questions regarding the construction, validity, interpretation and enforceability of these Official Rules, or your rights and obligations in connection with the NFFC shall be governed by, and construed in accordance with, the laws of the state of Illinois, without giving effect to any choice of law or conflict of law rules; and (ii) any and all disputes, claims and causes of action arising out of or connected with the NFFC or any prize awarded will be resolved individually, without resort to any form of class action, and exclusively by the U.S. District Court for the District of Minnesota, or the appropriate state court located in Hennepin County, Minnesota; and (iii) in no event shall SportsHub Games Network, Inc. liability to you for any and all damages, losses or causes of action exceed $250; and (iv) in no event shall SportsHub Games Network, Inc., its parents, affiliates, and subsidiaries, and their respective directors, officers, employees, agents and representatives, be liable for any punitive, incidental and consequential damages. If your jurisdiction does not allow limitations or exclusions of liability for incidental or consequential damages, the above may not apply to you. WITHOUT LIMITING THE FOREGOING, EACH NFFC GAME, EVENT, LEAGUE,WEBSITE, AND BULLETIN BOARD/FORUM IS PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
